Terms and Conditions
Rules governing our agency-client engagements.
These Terms govern your access to, usage of all content, Product and Services available at the digital properties operated by Spirit Entertainment Limited ("us", "we", or "our").
Your access to our agency services is subject to your acceptance, without modification, of all of the terms and conditions contained herein and all other operating rules and policies published and that may be published from time to time by us.
Digital Marketing Services Execution
Our agency services include but are not limited to Search Engine Optimization (SEO), Pay-Per-Click (PPC) ad management, social media marketing, content creation, and CRO (Conversion Rate Optimization). Specific deliverables, project scopes, timelines, and payment terms will be strictly outlined in a customized, separate Service Level Agreement (SLA) or Statement of Work (SOW) executed for each client. We deploy industry-leading strategies to achieve the best possible results, but due to the volatile nature of third-party platforms, we do not guarantee specific outcomes, absolute ROAS figures, or exact keyword rankings, as these are subject to factors beyond our direct control, such as sudden search engine algorithm updates, policy changes on advertising networks, and aggressive competitor activities.
Intellectual Property & Licensing
The Agreement does not transfer from Us to you any of Ours or third party intellectual property, and all right, title, and interest in and to such property will remain (as between the parties) solely with Spirit Entertainment Limited and its licensors. Any underlying marketing frameworks, proprietary software, internal strategies, or unreleased materials we utilize remain our intellectual property. However, clients are granted full licensing and ownership rights to final, delivered assets (e.g., ad copy, graphics, web pages) upon full and final payment of all associated invoices.
Third-Party Services & Ad Networks
In executing marketing campaigns, we will interface with and you may use third-party services, products, ad exchanges, software, embeds, or applications developed by a third party ("Third-Party Services"), such as Google Ads, Meta Business Manager, TikTok Ads Manager, or Hubspot.
- Any use of a Third Party Service is subject to their respective terms. We shall not be held liable for account suspensions, ad disapprovals, or bans imposed by these third-party entities.
- You acknowledge and agree that Spirit Entertainment Limited shall not be responsible or liable for any damage, loss of revenue, or data discrepancies caused or alleged to be caused by technical outages, tracking pixel failures, or API depreciations associated with any such third-party platforms.
Payment Terms & Termination
All invoices are due upon receipt unless otherwise specified in your Master Services Agreement. Spirit Entertainment Limited reserves the right to pause all ad campaigns, halt SEO technical work, and revoke access to reporting dashboards in the event of an account falling into arrears. We may terminate or suspend your access to all or any part of our Services at any time, with or without cause, with or without notice, effective immediately, particularly in cases of material breach of contract or abusive behavior towards staff.
Changes
Spirit Entertainment Limited reserves the right, at our sole discretion, to modify or replace these Terms at any time to reflect changes in digital law or agency operations. We will endeavor to provide notice prior to significant new terms taking effect.
